DGS Acquires Core Sistemi srl

DGS SpA (“ DGS ”) – a leading operator in the Italian Information Technology market specialized in the digital transformation of business processes and portfolio company of HIG Europe (“ HIG ”) belonging to the HIG Capital family of international funds, with $59 billion of capital under management – ​​announces the completion of the acquisition of Core Sistemi srl (“ Core Sistemi ” or the “ Company ”).

Core Sistemi, a leading operator in the Italian Information Technology market, specialized in the digital transformation of business processes and Cybersecurity services, based in Rome, has been operating in the Information Technology market since 2005. Since its foundation, the Company has specialized in the Cybersecurity field, offering its customers, public and private blue-chip companies , advanced IT protection solutions integrated with Managed Services. Core Sistemi uses long-term partnerships and relationships with the main Cybersecurity vendors .

For all aspects relating to the structuring and negotiation of the transaction, DGS was assisted by King & Wood Mallesons, with a team led by Davide Proverbio ( partner ) and composed of Giulia Zoccarato ( associate ) and Irene Munaretto ( trainee ), with the collaboration of the law firm Landi for the administrative and environmental law due diligence , Perani Pozzi Associati for the industrial law due diligence and Morpurgo e associati for the employment law due diligence.

Spada Partners acted with a team coordinated by partner Guido Sazbon for tax due diligence supported by Francesco Podagrosi and Gaetano Piazzolla, by partner Cristiano Proserpio  supported by Massimo Fagioli and Roberto Stagnaro for aspects relating to financial due diligence .

The sellers were assisted by Macchi di Cellere Gangemi , with a team composed of partners  Andrea Gangemi , Valentina Spinelli and Matteo Patrignani.
